Not just a word!
The word "property" in HK can cause confusion, as in everyday business it refers to real estate shaped by HK's unique system of government leases and ownership rules. However under English law it can something entirely different. If a contract does not clearly define "property", disagreements will inevitably follow.
Be clear and concise
In HK legal drafting, verbs are often turned into nouns to make it sound more formal. For example, "effect delivery of the goods", instead of simply "deliver the goods". This habit makes contracts longer and less clear, whereas using a direct verb makes the sentence clearer and easier to understand.
Why be passive when you can be active?
Passive voice sounds more detached and formal, explaining why it's so favoured in HK legal drafting, but in reality it can obscure responsibility, making contracts harder to understand. Always consider that laws are man-made and are fallible, as are all humans.
